TERMS AND CONDITIONS OF USE AND SALE (KSA)

Welcome to Zepter ME.
Saferena Company and/or its affiliates ("Zepter") provide website features, products, and services to you when you visit or shop at the Website, use Zepter products, or use software provided by Zepter in connection with any of the foregoing (collectively "Zepter Services"). Please read these conditions carefully before using Zepter Services. By using Zepter Services, you signify your agreement to be bound by these conditions.
PART 1: TERMS OF WEBSITE USE (CONDITIONS OF USE)
1. LEGAL GOVERNANCE, CORPORATE ENTITY AND ACCEPTANCE
This Website is operated by Saferena Company (“Zepter ME”), a limited liability company License No: 7052351637 organized under the laws of the Kingdom of Saudi Arabia (KSA). For all users located within the KSA, these Terms constitute a binding legal agreement governed by the KSA Civil Transactions Law, E-Commerce Law, Electronic Transactions Law, Anti-Cybercrime Law, Personal Data Protection Law (PDPL), and Consumer Protection Regulations. By accessing, browsing, registering, or purchasing, you confirm your unconditional acceptance of these Terms. If you do not agree to these conditions, you must immediately cease all use of Zepter Services.
2. ELECTRONIC RECORDS, COMMUNICATIONS AND CONSENT
Pursuant to the KSA Electronic Transactions Law, all electronic communications-including emails, SMS, One-Time Password (OTP) confirmations, electronic invoices, electronic signatures, and system logs-are deemed legally valid written documents. They possess full evidentiary weight in all KSA judicial, administrative, or regulatory proceedings. You agree that all agreements, notices, and disclosures satisfy any legal requirement that such communications be in writing. For contractual purposes, you consent to receive communications from us in various ways, such as e-mail, text, in-app push notices, or through our Message Center. You waive any right to challenge the validity of these Terms solely because they were concluded electronically.
3. COPYRIGHT, AUTHORS' RIGHTS AND DATABASE RIGHTS
All content included in or made available through any Zepter Service, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations, is the exclusive property of Zepter or its content suppliers and is protected by local and international copyright, authors' rights, and database right laws. The compilation of all content included in or made available through any Zepter Service is the exclusive property of Zepter and is protected by local and international copyright and database right laws. You may not extract and/or re-utilize parts of the content of any Zepter Service without our express written consent. Specifically, you may not utilize any data mining, robots, or similar data gathering and extraction tools to extract for re-utilization any substantial parts of the content of any Zepter Service.
4. TRADEMARKS, TRADE DRESS AND BRAND PROTECTION
Graphics, logos, page headers, button icons, scripts, and service names included in or made available through any Zepter Service are trademarks or trade dress of Zepter. Zepter's trademarks and trade dress may not be used in connection with any product or service that is not Zepter's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Zepter. All other trademarks not owned by Zepter that appear in any Zepter Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Zepter.
5. LICENCE, ACCESS AND ARTIFICIAL INTELLIGENCE (AI) RESTRICTIONS
Subject to your compliance with these Conditions of Use and applicable Service Terms, Zepter grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal and non-commercial use of the Zepter Services. This license does not include any resale or commercial use; any collection and use of product listings, descriptions, or prices; any derivative use of any Zepter Service; or any use of data mining, robots, or similar data gathering and extraction tools.
- 5.1. AI Training Prohibition: You will not, and will not allow any third party to, use content from the Zepter Services to, directly or indirectly, develop, train, or improve Artificial Intelligence (AI), large language models (LLMs), machine learning models, or related technology.
- 5.2. Prohibited Framing: You may not frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Zepter without express written consent.
- 5.3. Hidden Text: You may not use any meta tags or any other "hidden text" utilizing Zepter's names or trademarks without our express written consent.
6. YOUR ACCOUNT, SECURITY AND ANTI-CYBERCRIME COMPLIANCE
You may need your own Zepter account to use certain Zepter Services, and you may be required to be logged into the account and have a valid payment method associated with it. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. Pursuant to the KSA Anti-Cybercrime Law, you agree to accept responsibility for all activities that occur under your account or password. You should inform us immediately if you have any reason to believe that your password has become known to anyone else. Zepter reserves the right to refuse service, terminate accounts, or remove content if you are in breach of applicable laws, these Conditions, or any other policies.
7. REVIEWS, COMMENTS, COMMUNICATIONS AND USER-GENERATED CONTENT
You may post reviews, comments, and other content as long as the content is not illegal, obscene, abusive, threatening, or infringing of intellectual property rights. You grant Zepter a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, and distribute such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; and that use of the content does not breach any applicable policies. Zepter takes no responsibility and assumes no liability for any content posted by you or any third party.
8. AGENTS AND AUTOMATED ACCESS REQUIREMENTS
The terms in this section apply if you use any Agent (software or service taking autonomous or semi-autonomous action) to interact with Zepter Services.
- 8.1. Transparency: No Agent may access Zepter Services unless, always, it identifies itself in the HTTP/HTTPS user agent string as "Agent/[Name]".
- 8.2. Obfuscation Prohibited: Agents must not conceal that any access is from an Agent, such as by mimicking human keystrokes or circumventing CAPTCHAs.
- 8.3. Discretionary Limitation: Zepter may, at its sole discretion, limit or block any Agent from accessing Zepter Services through technical measures.
PART 2: TERMS AND CONDITIONS OF SALE (CONDITIONS OF SALE)
9. OUR CONTRACT, CANCELLATION AND RESALE PROHIBITION
9.1. Offer and Acceptance: Product listings on the Website constitute an "invitation to treat." Your order is an offer to Zepter to buy the product(s). A legally binding contract is formed ONLY when Zepter ME ships the product and issues a formal "Shipping Confirmation Email."
9.2. Cancellation Rights: Both you and Zepter can cancel your order at no cost any time before we send the Shipping Confirmation E-mail. This right to cancel does not apply to digital products once download has begun.
9.3. Reseller Prohibition: Zepter focuses on end-users. Sales by resellers (behavior of customers who buy to resell) are strictly prohibited. If Zepter finds that you resell products purchased from Zepter, we reserve the right to permanently close your account and cancel all pending orders without liability.
9.4. Product Availability: All orders are subject to product availability. In the event that a product becomes unavailable after an order is placed, Zepter reserves the right to cancel the order and issue a full refund without additional liability.
10. SHIPPING, DELIVERY AND LOGISTICS POLICY
10.1. Delivery Timeframe: The standard shipping period ranges from 1 to 28 business days, subject to variations due to high demand, official holidays (Friday and Saturday are non-working days), or logistics pressure. By placing an order, you acknowledge and accept this delivery timeline.
10.2. Data Accuracy and Responsibility: The customer is solely responsible for ensuring the accuracy of all entered data (Full Name, City, Mobile Number, and Address).
- City Name: You must enter the direct city name. Registering a nearby region or governorate name is prohibited to avoid delays.
- No Modifications: Due to the automated link between our order system and shipping companies, data cannot be modified once the order is placed. Changes to the shipping address after ordering may result in significant delays or cancellation, for which Zepter bears no responsibility.
10.3. Communication Requirements: You must provide a valid local mobile number required to receive calls and WhatsApp messages. International numbers are strictly prohibited for local orders. Zepter disclaims all responsibility if you fail to answer calls, ignore messages, or have your phone switched off.
10.4. FAILED DELIVERY AND STORAGE
If delivery cannot be completed due your unavailability or non-response, the shipment may be returned to the logistics provider or held for a limited period.
Zepter will make reasonable efforts to contact the Customer to arrange re-delivery. Additional delivery charges may apply.
If the Customer fails to respond within a reasonable period, Zepter reserves the right to cancel the order and issue a refund after deducting applicable shipping and handling costs, in accordance with KSA law.
10.5. International Travel: If you plan to travel outside Saudi Arabia, you must inform us at least two weeks prior to your travel date. If this notice is not provided, we reserve the right to cancel the order or issue a refund, as we cannot guarantee delivery for requests made shorter than this period.
10.6. TRANSFER OF RISK AND TITLE
10.6.1. Risk in the product shall transfer to the Customer upon successful delivery and OTP confirmation or physical receipt of the product, whichever occurs first.
10.6.2. Title to the product shall pass to the Customer only upon full payment and successful delivery.
11. RETURNS, REFUNDS AND PRODUCT CONDITION
11.1. Return Window and Contact: Returns and exchanges are accepted within 7 days of the order date only. For further assistance, please email us at [email protected]. Items must be in their original, sealed, and unused condition.
11.2. Incorrect or Defective Items: If you receive an incorrect item, you must provide clear photographs of the invoice, the product, and the shipping label to process the claim.
11.3. Minor Damage Disclaimer: Pursuant to Articles (15) and (16/2) of the Executive Regulations of the KSA E-Commerce Law, minor damage to packaging (scratches/dents) may occur during shipping due to factors beyond our control. Provided this does not affect the product’s quality, functionality, or suitability for use, such minor external damage does not constitute grounds for a full refund or claim.
11.4. International Orders: Refund policies apply only within the GCC. International orders outside the GCC are final and non-refundable.
11.5. No Return Fees: Zepter does not charge return fees for eligible orders returned in accordance with these terms.
11.6. Title Transfer: Zepter does not take title to returned items until the item arrives and passes inspection at our fulfillment center.
11.7 Right to Withdraw: In accordance with the applicable provisions of the KSA E-Commerce Law and its Executive Regulations, the you have the right to withdraw from the purchase without stating any reason within seven (7) days from the date of receipt of the product.
11A.2. To exercise this right, the you must notify Zepter through the designated contact channels within the withdrawal period.
11A.3. The product must be returned in its original condition, unused, and in its original packaging, together with all accessories and documentation.
11A.4. The right of withdrawal shall not apply in the following cases:
- Products made to your specifications or clearly personalized;
- Sealed products which are not suitable for return due to health or hygiene reasons if unsealed after delivery;
- Digital products once download or use has commenced;
- If the defect is attributed to the your mishandling of the product.
- Any other cases exempted under applicable KSA law.
11A.5. This clause does not prejudice any statutory rights granted to consumers under applicable laws.
11.9 REFUND TIMELINE AND METHOD
11.9.1. Approved refunds shall be processed within seven (7) to fourteen (14) business days from the date the returned product is received and inspected.
11.9.2. Refunds shall be issued using the original payment method, unless otherwise required by applicable regulations or agreed with the Customer.
11.8.3. Any applicable shipping or handling fees may be deducted in accordance with applicable law and the reason for return.
12. PRICING, VAT AND MATERIAL ERROR PROTECTION
12.1. VAT: All prices are inclusive of legally applicable VAT as per ZATCA regulations.
12.2. Pricing Errors: Despite our best efforts, a small number of items may be mispriced. We will verify pricing when processing your order. In case of an obvious pricing error (Material Error) where the price is materially lower than the prevailing retail price, we have no obligation to sell at that price and shall be entitled to cancel the contract before shipment.
12A. PAYMENTS AND BILLING
12A.1. All payments must be made in Saudi Riyals (SAR) using the payment methods made available on the Website (including but not limited to Mada, credit/debit cards, and other approved methods).
12A.2. By placing an order, you confirm that you are authorized to use the selected payment method and authorize Zepter to charge the full amount.
12A.3. Zepter reserves the right to refuse or cancel any order in cases of suspected fraud, unauthorized transactions, or payment failures.
12A.4. In the event of a failed transaction, the order shall not be confirmed and Zepter shall bear no liability for non-processing.
12B. PROMOTIONS AND DISCOUNTS
12B.1. Promotional offers, discount codes, and campaigns are subject to specific terms and may be withdrawn or modified at any time without prior notice.
12B.2. Promotions cannot be combined unless expressly stated.
12B.3. Zepter reserves the right to cancel orders where promotions have been applied in error.
13. INSTALLATION SERVICES, SITE READINESS AND RE-VISIT FEES
For specialized devices (Water Purification System, e.g. AqueenaEvo): Free installation is a one-time service; the installation site must be technically prepared (plumbing/electrical) by the customer in advance. Technicians do not perform structural, plumbing, or electrical modifications. If a technician arrives and the site is unprepared, or if the customer postpones the installation without 24-hour notice, additional visits will be subject to a "Re-visit Fee."
14. 24-MONTH LIMITED WARRANTY AND MAINTENANCE
Eligible products carry a 24-month limited warranty against manufacturing defects starting from the delivery date. In addition, extended warranty coverage applies to specific products: the Therapy Air Ion (PWC-570, PWC-570B) is covered by a 10-year warranty, while the Therapy Air Smart (TAS-100) is covered by a 5-year warranty. Warranty is void if:
- Unauthorized servicing occurs or non-genuine parts are used.
- Improper voltage or lack of electrical grounding is detected.
- Required maintenance (e.g., filter cycles) is neglected as per the product manual. Warranty repairs will be carried out only by authorized service centers designated by Zepter.
15. PRODUCT INFORMATION AND MEDICAL DISCLAIMER
Unless expressly indicated, Zepter is not the manufacturer of all products. Actual product packaging may contain different information than displayed on the Website. Content on this site regarding wellness and health-related products (Bioptron, Water systems) is for informational purposes and is not intended to substitute for advice given by a medical practitioner. Zepter accepts no liability for inaccuracies about products by manufacturers or other third parties.
16. ZEPTER SOFTWARE TERMS
You may use Zepter Software solely for purposes of enabling you to use Zepter Services. You may not incorporate it into your own programs or reverse engineer, decompile, or disassemble the software to derive source code or model weights. Your rights to use the Zepter Software will automatically terminate if you fail to comply with these terms.
17. SANCTIONS AND EXPORT POLICY
You may not use any Zepter Service if you are the subject of sanctions consistent with KSA law or international regulations. You must comply with all export and re-export restrictions that may apply to goods, software, and technology.
18. OUR LIABILITY (LIMITATION AND EXCLUSION)
Zepter and its affiliates will not be responsible for: (i) losses that were not caused by any breach on our part, (ii) any business loss (including loss of profits, revenue, data, or goodwill), or (iii) any indirect or consequential losses. To the maximum extent permitted by KSA Law, Zepter’s total liability shall not exceed the amount paid for the product giving rise to the claim.
18A. THIRD-PARTY SERVICES
Zepter may rely on third-party service providers, including logistics partners and payment processors. While Zepter uses reasonable care in selecting such providers, it shall not be liable for delays, failures, or errors attributable to such third parties, except as required by applicable law.
19. INDEMNIFICATION
You agree to indemnify and hold harmless Zepter ME and its affiliates from any claims, damages, or liabilities (including legal fees) arising from your breach of these Terms, misuse of Zepter Services, or violation of any third-party intellectual property rights.
PART 3: GENERAL PROVISIONS
20. FORCE MAJEURE
We will not be held responsible for any delay in delivery or failure to comply with our obligations if the delay or failure arises from any cause beyond our reasonable control, including natural disasters, pandemics, war, civil war, governmental actions, or global logistics disruptions. Notwithstanding anything to the contrary set out in these Conditions of Use, we will have the right to terminate your order and contract at any time if it is impacted in any way by a force majeure event.
21. PERSONAL DATA PROTECTION AND PRIVACY POLICY
21.1. Collection and Purpose
Zepter collects and processes the following personal data:
- Name
- Contact details (email, phone number)
- Address
- Payment-related information (processed via secure third-party providers)
Such data is processed solely for:
- Order fulfillment and delivery
- Customer support
- Legal and regulatory compliance
- Service improvement and analytics (on an anonymized basis)
21.2. Legal Basis
Processing is carried out based on contractual necessity, legal obligations, and customer consent where required, in accordance with the KSA Personal Data Protection Law (PDPL).
21.3. Data Subject Rights
You have the right to:
- Access your personal data
- Request correction or update
- Request deletion (where legally permissible)
- Withdraw consent (where applicable)
Requests may be submitted via the official contact channels.
21.4. Data Retention
Personal data shall be retained only for as long as necessary to fulfill the purposes stated above or as required by applicable laws and regulations or for as long as you maintain an account with us.
21.5. Data Sharing and Transfers
Data may be shared with logistics providers, payment processors, and regulatory authorities where necessary. Cross-border transfers shall be conducted in compliance with PDPL requirements.
21.6. Security Measures
Zepter implements appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or misuse.
21.7. Data Breach Notification
In the event of a data breach, Zepter shall notify the competent authority and affected individuals in accordance with PDPL requirements.
21.4. Consent: By using Zepter Services, you consent to this privacy policy. We are committed to providing a safe and reliable shopping experience and will periodically clarify this policy to ensure transparency.
22. ALTERATIONS TO SERVICE OR AMENDMENTS TO TERMS
We reserve the right to make changes to any Zepter Services, policies, and these Conditions at any time. You will be subject to the terms in force at the time of your use or order. If any condition is deemed invalid or unenforceable, that condition will be deemed severable and will not affect the validity of remaining provisions.
23. WAIVER
If you breach these Conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these Conditions. A partial exercise of a right does not preclude further exercise of that right.
24. APPLICABLE LAW, JURISDICTION AND LANGUAGE
These conditions are governed by the Laws of the Kingdom of Saudi Arabia. Each party submits to the exclusive jurisdiction of the Competent Courts of Riyadh. Pursuant to MCI regulations, the Arabic version of these Terms is the official legal version and shall prevail.
25. CHILDREN AND MINORS
We do not sell products for purchase by children. We sell products for purchase by adults. If you are under 21, you may only use Zepter.sa with the involvement of a parent or guardian.
26. CUSTOMER COMPLAINTS AND DISPUTE RESOLUTION 26.1. Customers may submit complaints via official customer service channels.
26.2. Zepter will acknowledge complaints within a reasonable timeframe and aim to resolve them within 7 to 14 business days.
26.3. Nothing in this clause limits the Customer’s right to escalate disputes to the competent authorities or courts in the Kingdom of Saudi Arabia.
27. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the Customer and Zepter regarding the use of Zepter Services and supersede all prior agreements or understandings.
